Terms of Service
Last updated: 12 October 2026
These Terms of Service (“Terms”) govern access to and use of the VitalReturns platform (the “Service”) operated by VitalWorks Limited, a company incorporated in Uganda. By creating an account or using the Service, you agree to these Terms.
1. Account registration
You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity under your account and must notify us immediately of any unauthorised use.
2. Subscription and billing
Paid plans are billed in advance for the chosen billing cycle (monthly or annual) at the published prices. Pricing changes take effect at the start of the next billing cycle after 30 days' notice. Fees are quoted in Uganda Shillings and are exclusive of VAT where applicable.
3. Acceptable use
You may not use the Service to:
- Prepare or file returns on behalf of taxpayers whose authorisation you do not hold.
- Attempt to interfere with URA, URSB or NIRA systems through the Service.
- Reverse-engineer, scrape or redistribute any part of the Service.
- Upload malware or any content that violates applicable law.
4. Customer responsibilities
You are responsible for the accuracy of the data you submit and for reviewing the returns, PRNs and payments the Service generates before onward submission to URA. VitalReturns is a preparation and submission tool — final responsibility for regulatory compliance rests with the taxpayer or their appointed tax agent.
5. Service availability
We target 99.5 % monthly availability measured on the production API. Scheduled maintenance windows are announced at least 48 hours in advance. We are not liable for outages caused by URA, upstream banking partners, or events beyond our reasonable control.
6. Suspension and termination
We may suspend or terminate access on 14 days' notice for material breach of these Terms, non-payment or regulatory requirement. On termination, you may request a complete export of your tax records in standard URA formats within 60 days.
7. Liability
To the maximum extent permitted by law, our aggregate liability under these Terms is capped at the fees paid in the twelve months preceding the claim. We are not liable for indirect, incidental, punitive or consequential damages, nor for lost profits or lost data where such loss results from your failure to maintain reasonable backups of exported records.
8. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified in-product and by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
9. Governing law
These Terms are governed by the laws of Uganda. Disputes are subject to the exclusive jurisdiction of the courts of Kampala.
